Due Diligence

Due Diligence

Much of the value in an acquisition is created when it is purchased, not when it is sold. Optima’s dedicated due diligence team examines title, production and permitting records on tight deal timelines, so you know what you are buying before you close.

What we do

  • Pre-buy title review. Examine leasehold, wellbore, mineral, non-participating royalty, overriding royalty and surface interests, including leasehold trades.

  • Defect identification. Find actual and potential defects: record title gaps, lessors not leased in their proper capacity, unratified NPRI owners not in pay, expiring leases, production issues, permitting discrepancies and tax issues.

  • Interest verification. Compare the ownership we find with the seller’s stated working and net revenue interests.

  • Lease and contract review. Identify obligations, consents, preferential rights and depth limitations that affect value.

  • Purchase and Sale Agreement support. Help negotiate the PSA, prepare exhibits and draft defect notices.

  • Defect and settlement reporting. Prepare defect reports and post-close settlement reports.

  • Divestiture preparation. Build digital data rooms, cure title ahead of a sale, negotiate the PSA and guide sellers through closing.

What you receive

  • Defect reports with each issue described, documented and categorized

  • Interest verification schedules by tract or well

  • PSA exhibits, including lands, leases and wells

  • Digital data rooms for sell-side projects

  • Post-close settlement reports

How a project runs

  1. Scope. We identify the highest-value assets and the defect notice deadline in the PSA.

  2. Review. The team works title, records and production in parallel, starting with the highest-value assets.

  3. Report. Defects are reported as they are found, so you can raise them within the PSA’s notice period.

  4. Resolve. We help negotiate cures or price adjustments, then support curative and the post-close settlement.
